Pegasus Asia Target Search

Pegasus Asia is a special purpose acquisition company (SPAC) that is listed on the Singapore Stock Exchange (SGX). We have raised $150m in our SPAC listing and can deploy that for investment, alongside additional proceeds raised through a PIPE as needed.

Pegasus Asia intends to invest in technology-enabled businesses in the Asia Pacific and Gulf regions with a clear value creation plan that could be accelerated with a listing, access to capital, and strategic guidance.

Q3: What is the overall process for Pegasus SPAC Target Search?

After the process launches, companies are invited to submit the information requested. Pegasus Asia will commence the evaluation process on an ongoing basis. At the end of the evaluation process, selected companies will be invited for in-depth conversations as part of the SPAC investment process.

Q4: How many companies will be shortlisted through the process?

There is no set target for the number of companies shortlisted.

Q5: Is Pegasus Asia under any obligation to make a final investment decision from this process?

No.

Terms and Conditions

By participating in the Pegasus Asia: Target Search (the“Target Search”) you (the “entrant” or “participant”) will be deemed to have accepted the following terms and conditions.

1. INTRODUCTION

1.1. The Target Search is being run and administered by Pegasus Asia. 1 Wallich Street, Guoco Tower, #15-03, Singapore 078881.

1.2. ONLY companies with ALL the following characteristics are eligible to apply: a.     Valuation (pre-money) at S$0.4bn to S$2.0bn range b.     Sectors: All sub-sectors within Financial Services/Fintech c.     Region: Asia and Pacific Region and Gulf Cooperation Council Members

2.TARGET SEARCH

2.1. To enter the Target Search, you would be required to visit provided urls ("Website") submit the responses ("Responses") to the questions within the provided deadlines. Responses must be submitted directly to the APIX Website.

2.2. Information submitted by the companies will be evaluated by Pegasus Asia Management. Selected shortlisted companies will be invited for in-depth conversations with Pegasus Asia as part of the investment process.

2.3. Elevandi and APIX are assisting Pegasus Asia in the Target Search, however neither institution will be involved in the evaluation or decision making process. Pegasus Asia is under no obligation to make a final investment decision from the participants of this search.

3. CONDITIONS RELATING TO ENTRY

3.1. Each entrant may only enter the Target Search once during the Target Search Period. Any entrant who submits multiple Responses will be disqualified.

3.2. Pegasus Asia reserves the right, at any time, to verify the eligibility of any entrant and to exclude anyone who it believes to have acted in breach of these terms and conditions.

3.3. Pegasus Asia will not be responsible for any attempt to participate in the Target Search which is unsuccessful or incomplete for any reason, including as a consequence of communication or network failures.

3.4. By submitting a Response, each entrant: (a) understands that nothing herein shall constitute an employment, joint venture, or partnership relationship between Participant and Pegasus Asia; (b)  affirms that the entrant’s participation in the Target Search is solely on voluntary basis; (c) undertakes that the entrant shall not, directly or indirectly, orally or in writing, whether in public or in private, whether online (including through any social media, such as Facebook or the like; any blog; any “app”; any phone, tablet, iPhone, iPad, Blackberry, computer, laptop or other device or application; or otherwise) or in any other manner: (a) make or publish any statements that disparage or defame Pegasus Asia or any of its personnel, (b) make or publish any statements that appear to be on behalf of Pegasus Asia or any of its personnel, (c) use any of Pegasus Asia’s name, logos, trademarks, graphics, or trade names, or (d) share any information about Pegasus Asia or any of its clients or personnel with any reporter, author, producer, director, or blogger, or otherwise make (or assist in making) any such information available to the public; and (f) affirms that they are of lawful age and legally competent to agree to these terms. The entrant understands the terms herein are contractual and not a mere recital If under the age of 18, the entrant affirms that their parent or legal guardian also has reviewed and agreed to these terms, binding the entrant to the terms of this Agreement and confirming the entrant’s consent to all such terms.

3.5 When visiting Pegasus Asia offices, the entrant shall comply with all rules that apply to guests of Pegasus Asia’s offices, including all security rules and procedures.

3.6 The entrant acknowledges that by being present in Pegasus Asia’s offices, the entrant may overhear or otherwise learn confidential information relating to Pegasus Asia or its business, its clients, or its personnel, including information relating to actual or potential investments or trades; actual or potential transactions; formulas; computer materials, including source or object codes, data files, computer listings, computer programs, and other computer materials or information; or other information that is not publicly known. The entrant agrees and undertakes to treat all such information as strictly confidential; to not share any such materials or information with anyone else; to not trade any stocks using such information or otherwise use any such materials or information; and to not remove any materials containing confidential information from Pegasus Asia’s offices.

3.7 The entrant agrees not to take any photographs, videos, audio recordings, or other recordings on Pegasus Asia’s property or to publish any such material online or otherwise.

4. LIABILITY To the maximum extent permitted by applicable law Pegasus Asia excludes liability for any losses, damages and claims incurred by any person in connection with the Target Search.

5. GENERAL

5.1. All decisions made by Pegasus Asia in respect of the Target Search shall be made in their absolute discretion and shall be final. Pegasus Asia shall be under no obligation to disclose the reasons and grounds for the decisions and no correspondence will be entertained in respect of the same.

5.2. Pegasus Asia reserves the right to amend these terms and conditions or cancel the Target Search at any time if circumstances beyond its control make this unavoidable.

5.3. Each participant may be required to provide personal information (including his/her name, email and postal address) when submitting an application and Response. Any personal data submitted to Pegasus Asia in connection with the Target Search will be used to administer the Target Search. In doing so, the personal data of each participant may be shared with Pegasus Asia’s subsidiaries, entities hosting or processing such data for Pegasus Asia, and/or with Pegasus Asia’s service providers, contractors and subcontractors.

5.4 In case of any dispute, the parties hereby submit to the exclusive jurisdiction of the courts of Singapore. These terms are governed by the laws of Singapore.
